Company Secretarial Manager (part time)

Job Purpose :      To fulfil the role of a Company Secretarial Manager for SRS Corporate Services (Guernsey) Limited; and all clients of the above company.

Principle Accountabilities:
 
  • Executing the role of Company Secretary provided for all clients through the corporate appointment of SRS Corporate Services
  • Ensuring suitable procedures for the efficient flow of work and compliance with relevant laws and regulations
  • Ensuring managed companies operate within their Articles providing training and guidance to client service teams
  • Oversee the set up and maintenance of all statutory company records for all client and Group companies
  • Filing documents with the Registry
  • Preparation and submission of annual validations and company filings to the Registrar of Companies
  • Submission of Guernsey Finance Levy filings to the Registrar of Companies
  • Renewal of data protection registrations
  • Advise on Corporate Governance and Company Law issues
  • Incorporation of companies
  • Drafting of Insurance Management Agreements and Company Administration Agreements and maintenance of templates
  • On occasion assisting with coordination and preparation of Board Packs and Board Meetings
  • Attendance at client Board Meetings (where required)
  • Completion of Board Minutes (when in attendance)
  • Ensure exceptional client service
  • Liaise with external regulators
  • Work with external advisers such as lawyers and internal and external auditors where needed
  • Undertake ad hoc projects as determined by the senior management team.

 
Attributes and Skills:
  • Minimum of 5 years’ experience in a company secretary environment
  • Ideally ICSA qualified or working towards this or similar qualification
  • Excellent organisational and communication skills are essential to collaborate with a range of professionals to deliver results.
  • Ensure all work carried out complies with the Company’s policies and procedures and the ongoing regulatory requirements.
  • Self-motivated with the ability to work effectively as part of a team or on individually assigned tasks in a fast-paced environment where attention to detail, time management and prioritisation skills are essential
